LIABILITY COMMITMENT AND CONDITIONS FOR USE AND REPRODUCTION OF VIRTUAL NEWSROOM CONTENTS, VALE GROUP

Images, descriptions, logos, videos, and texts available in this site are granted to an individual or organization accessing or downloading files ("User"), pursuant to the following terms and conditions.

1. Granting of license. According to terms and conditions stipulated in this deed, Vale grants to User a complimentary non-exclusive license to print and/or copy different items of the VALE Virtual Newsroom, with the exclusive purpose of adequately identifying Vale as a mining enterprise, with business associated to the logistics area.

2. Restrictions. License grants, mentioned in Section 1 above, are expressly contingent upon observance by User of the following restrictions:

(a) User may not alter, in any way whatsoever, the images, including, but not limited to, forms which render information contained therein inadequate or deceitful;

(b) User should not utilize texts, images, presentations, audios, videos and the name of Vale in any form suggesting an affiliation or association of Vale with User or User services and products;

(c) User should not utilize contents of said Virtual Newsroom in such a fashion that information contained therein be seen as truthful or having different purposes from those of publicizing information of an overall nature.

Additionally, in the event VALE should become aware of  misuse of any items of said Virtual Newsroom or of the name of Vale by User, the Company will be rightfully entitled to cancel, due to said bad usage, any licenses granted to User under this deed, and User should immediately abstain from continuing to use said images and/or the name of Vale (according to specifications by VALE), without waiving its responsibilities vis--vis eventual losses and damages incurred by Vale.

3. Property.  No item contained in the present Liability Commitment should be considered as a copyright transfer from Vale to User. The Company will preserve any and all property rights, including copyright of images, audios and videos and corporate name of Vale.

4. Access Registration.	It is important to outline that the Virtual Newsroom of Vale has a reporting system, which records accesses and recognizes recorded User, registering all pages he actually accessed. The object of this system is to enable VALE to subsequently develop relationship procedures with Virtual Newsroom Users.

5.Warranty. User admits and agress that all contents of the VALE group virtual Newsroom envisage, as their sole purpose, the diffusion of general information, and that said information therein contained is subject to change at any moment. Images, audios and videos are licenced by Vale and accepted by user in their present form. Additionally, Vale does not warrant that downloading or receiving of images, presentations, audios and videos will take place in a determined state or condition. Communication problems, not related to team or equipment of Vale, altering said images, may occur.

6. Complements/Applicable Law. This notification will be ruled exclusively pursuant to Brazilian Law. The present agreement replaces any agreements, interpretations and communications made between the Parties with regard to the content of the VALE Virtual Newsroom and may only be complemented or modified by a written instrument, prepared by an authorized representative of Vale.
