Rio de Janeiro, May 16, 2023 – Vale SA ("Vale" or the "Company") informs that the Board of Directors approved the new composition of the Audit and Risks Committee (“CARE"), made up of the following independent Board members:  

• Mr. Manuel Lino Silva de Sousa Oliveira ("Ollie Oliveira"), CARE coordinator and financial specialist; 
• Mrs. Rachel de Oliveira Maia; and 
• Mrs. Vera Marie Inkster. 

The Company's Reference form, available on Vale's website, disclosed the resumes of CARE members. Mrs. Luciana Pires Dias and Mr. Sergio Ricardo Romani remain CARE’s external advisors. 

Vale's Audit and Risks Committee is a statutory advisory body to the Board of Directors, and its main objective is to oversee the quality and integrity of financial reports, compliance with legal, statutory, and regulatory standards, the adequacy of risk management-related processes, and the internal and independent auditors’ activities.
